Terms of Service
These Terms of Service ("Terms") govern your access to and use of the website located at agentarchie.com (the "Site") and any related services provided by Archie Ventures LLC ("Archie Ventures," "we," "us," or "our") under the Agent Archie project (collectively, the "Services").
1. Agreement to Terms
By accessing or using the Site or Services, you agree to be bound by these Terms and by our Privacy Policy. If you are using the Services on behalf of an organization, you represent that you have authority to bind that organization, and "you" refers to that organization. If you do not agree to these Terms, do not use the Site or Services.
2. Eligibility
You must be at least 18 years old and legally capable of entering into a binding contract to use the Services. The Services are intended for businesses and professional use.
3. Description of the Services
Agent Archie designs, deploys, and manages autonomous software agents and related systems. The Site provides general information about our Services. Specific engagements, deliverables, fees, and service levels are governed by a separate written agreement between you and Archie Ventures. If there is a conflict between these Terms and a signed agreement, the signed agreement controls with respect to its subject matter.
4. Accounts and Access
Where Services require an account or credentials, you are responsible for maintaining the confidentiality of your credentials and for all activity that occurs under your account. You agree to notify us promptly of any unauthorized use or suspected security incident. We may suspend or restrict access as reasonably necessary to protect the Services, our clients, or third parties.
5. Acceptable Use
You agree not to, and not to permit any third party to:
- use the Services in violation of any applicable law or regulation;
- infringe the intellectual property, privacy, or other rights of others;
- transmit malicious code, engage in unauthorized access, or interfere with the integrity or performance of the Services;
- reverse engineer, scrape, or attempt to derive the source code or underlying models of the Services except as permitted by law;
- use the Services to develop a competing product or to build datasets for training competing models; or
- use the Services to generate unlawful, deceptive, harassing, or harmful content or activity.
6. Intellectual Property
The Site, the Services, and all related content, software, designs, text, graphics, logos (including the Agent Archie name and logo), and other materials are owned by Archie Ventures or its licensors and are protected by intellectual property laws. Except as expressly stated, no rights are granted to you. You may not use our trademarks, logos, or branding without our prior written permission.
7. Ownership of Deliverables and Outputs
Ownership of deliverables, configurations, and other work product created for a client is set out in the applicable written agreement. Unless otherwise agreed in writing, Archie Ventures retains ownership of its pre-existing materials, tools, frameworks, and know-how, and grants the client a license to use them solely as incorporated in the deliverables.
8. AI and Automated Outputs
The Services involve artificial intelligence and automated systems. You acknowledge and agree that:
- AI-generated outputs may be incomplete, inaccurate, or inappropriate and are provided without warranty;
- outputs are not professional advice (including legal, medical, financial, or tax advice) and must be independently reviewed before you rely on them;
- you are responsible for configuring, supervising, and using the Services in a manner appropriate for your business and applicable law; and
- you must implement appropriate human oversight for any consequential decisions.
9. Third-Party Services
The Services may integrate with or rely on third-party platforms, models, and APIs. Your use of third-party services may be subject to their own terms and privacy policies. We are not responsible for third-party services that we do not control.
10. Fees and Payment
Fees, payment terms, and any applicable taxes are set out in the applicable written agreement or invoice. Unless otherwise stated, fees are non-refundable and exclusive of taxes. Late or unpaid amounts may result in suspension of the Services.
11. Confidentiality
Each party may receive confidential information from the other. The receiving party will protect such information with reasonable care and use it only to perform the agreement. This section does not apply to information that is public through no fault of the receiving party, independently developed, or rightfully received from a third party.
12. Disclaimer of Warranties
The Site and Services are provided "as is" and "as available," without warranties of any kind, whether express, implied, or statutory, including any implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement. We do not warrant that the Services will be uninterrupted, error-free, secure, or that any output will be accurate or reliable.
13. Limitation of Liability
To the maximum extent permitted by law, Archie Ventures will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenue, data, or goodwill, arising out of or related to your use of the Site or Services, even if advised of the possibility of such damages. Our total aggregate liability arising out of or relating to the Services will not exceed the amounts you paid to Archie Ventures for the Services giving rise to the claim in the twelve (12) months preceding the event giving rise to the claim (or one hundred U.S. dollars (US$100) if no amounts were paid). Some jurisdictions do not allow certain limitations, so some of the above may not apply to you.
14. Indemnification
You agree to defend, indemnify, and hold harmless Archie Ventures and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or related to your use of the Services, your content, or your breach of these Terms or applicable law.
15. Term and Termination
These Terms apply while you use the Site or Services. We may suspend or terminate your access at any time if you breach these Terms or if we reasonably determine that continued access poses a risk to us, our clients, or third parties. Sections that by their nature should survive termination (including Sections 6, 7, 12, 13, 14, and 16) will survive.
16. Governing Law and Dispute Resolution
These Terms are governed by the laws of the State of Washington, United States, without regard to its conflict-of-laws principles. Subject to any dispute-resolution process in an applicable written agreement, you and Archie Ventures agree to submit to the exclusive jurisdiction and venue of the state and federal courts located in Spokane County, Washington, for any dispute arising out of or relating to these Terms or the Services.
17. Changes to These Terms
We may update these Terms from time to time. When we make material changes, we will revise the "Last updated" date and, where appropriate, provide additional notice. Your continued use of the Site or Services after changes take effect constitutes acceptance of the revised Terms.
18. General
If any provision of these Terms is found unenforceable, the remaining provisions will remain in full force. Our failure to enforce any right is not a waiver. You may not assign these Terms without our prior written consent; we may assign them in connection with a merger, acquisition, or sale of assets. These Terms, together with any applicable written agreement, constitute the entire agreement between you and Archie Ventures regarding the Site and Services.
